Terms of Use

1. Acceptance of Terms

Welcome to Atominic Technologies. These Terms of Use ("Terms") constitute a legally binding agreement between you (the "User", "you", or "your") and Atominic Technologies ("Atominic", "we", "us", or "our"), governing your access to and use of our websites, platforms, applications, and services.

By accessing or using any of our Services, creating an account, or clicking "I agree" (or similar affirmation), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund Policy, each of which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use our Services. Your continued use of any Service after changes to these Terms constitutes acceptance of the revised Terms.

2. Definitions

For the purposes of these Terms, the following definitions apply:

• "Services" means all platforms, applications, websites, tools, and services provided by Atominic Technologies, including but not limited to Jason (jason.atominic.com), NexChamps (nexchamps.com), AI enablement consulting services, and the Atominic corporate website (atominic.com).
• "Jason" means the AI-powered marketing and operations platform, including its content engine, CRM outreach, lead intelligence, and related features.
• "NexChamps" means the learning platform operated at nexchamps.com.
• "Account" means a registered user account created to access and use the Services.
• "Organization" means a business entity, team, or individual account holder that has registered on our platform and serves as the top-level tenant for data isolation and billing purposes.
• "Workspace" means a sub-unit within an Organization used to separate projects, brands, or operational contexts within the Services.
• "Content" means any text, images, data, files, posts, messages, or other materials uploaded, generated, submitted, or transmitted through the Services.
• "AI-Generated Content" means any content produced by artificial intelligence models through the Services, including social media posts, marketing copy, email drafts, and lead analysis.
• "User" means any individual who accesses or uses the Services, whether as an Organization owner, administrator, team member, or visitor.
• "Subscription Plan" or "Plan" means the tier of service selected by an Organization, which determines feature access, usage limits, and pricing.

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater.
• Have the legal capacity and authority to enter into a binding agreement.
• If registering on behalf of an organization, company, or other legal entity, represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" shall refer to both the individual and the entity.
• Not be a person barred from receiving services under the laws of India or any other applicable jurisdiction.
• Provide accurate, current, and complete information during registration and maintain its accuracy.

If you do not meet all of the above requirements, you must not access or use the Services. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion if we reasonably believe that a User does not meet these eligibility requirements.

4. Account Registration & Security

To access certain features of our Services, you must create an Account. When registering, you agree to:

• Provide truthful, accurate, current, and complete registration information.
• Maintain and promptly update your Account information to keep it accurate and complete.
• Maintain the confidentiality of your password and any other credentials used to access your Account.
• Immediately notify us at contact@atominic.com of any unauthorized use of your Account or any other breach of security.
• Accept full responsibility for all activities that occur under your Account, whether or not authorized by you.

Our Services operate on a multi-tenant architecture. Each Organization maintains isolated data within the platform. Organization owners and administrators may invite additional Users to their Organization and are responsible for managing access permissions and ensuring all Users comply with these Terms.

You may not share your Account credentials with any third party, create multiple Accounts to circumvent usage limits or plan restrictions, or use another User's Account without their express permission and that of the Account's Organization owner.

We reserve the right to suspend or terminate any Account that we reasonably believe has been compromised, is being used in violation of these Terms, or is inactive for an extended period.

5. Subscription Plans & Billing

Our Services are offered under various Subscription Plans, including free and paid tiers. Each Plan specifies the features, usage limits, and pricing applicable to your Organization. Plan details are described on our pricing pages and incorporated into these Terms by reference.

Plan Limits and Usage Metering. Your use of the Services is subject to the limits defined by your current Plan. We monitor and meter usage of AI actions, storage, team members, workspaces, and other resources. If you exceed your Plan limits, we may restrict access to certain features until you upgrade or until the next billing cycle.

Payments. For paid Plans, payment is required in advance of the billing period. We currently accept payments via bank transfer (NEFT/IMPS/RTGS) and UPI. All prices are listed in Indian Rupees (INR) unless otherwise specified. You are responsible for all applicable taxes.

Manual Activation. Paid plan subscriptions are activated manually by Atominic upon confirmation of payment receipt. After completing a payment, your subscription will be activated within a reasonable timeframe once payment is verified.

Plan Changes. You may upgrade or downgrade your Plan at any time through the platform settings. Upgrades require payment before activation. Downgrades to a free plan take effect immediately, and you may lose access to features and data that exceed the free plan limits. We are not responsible for any loss of data resulting from a voluntary downgrade.

Refunds. Our refund policy is detailed separately in our Refund Policy. By using our Services, you agree to its terms.

6. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not, and shall not permit any third party to:

• Use the Services in any way that violates any applicable law or regulation.
• Send unsolicited bulk messages, spam, or unauthorized advertising through our CRM, email, or outreach features.
• Harass, abuse, threaten, or intimidate any person, or publish content that is defamatory, obscene, hateful, discriminatory, or otherwise objectionable.
• Upload or distribute any viruses, malware, or other harmful code.
• Attempt to gain unauthorized access to any portion of the Services, other Users' Accounts, or connected systems or networks.
• Scrape, crawl, or use automated means to access the Services or extract data without our prior written consent.
• Reverse engineer, decompile, or attempt to discover the source code, algorithms, or underlying structure of the Services.
• Copy, modify, distribute, sell, lease, or sublicense any part of the Services.
• Remove, alter, or obscure any proprietary rights notices displayed within the Services.
• Use the Services to create a competing product or to benchmark the Services for competitive purposes.
• Circumvent, disable, or interfere with security-related features of the Services.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Publish content that infringes the intellectual property rights of any third party.
• Use AI features to generate content that is intentionally misleading, fraudulent, or designed to deceive.

We reserve the right to investigate and take appropriate action against any violation, including removing offending Content, suspending or terminating Accounts, and reporting Users to law enforcement.

7. AI-Generated Content

Our Services include features that use artificial intelligence to generate content, analyze data, provide suggestions, and automate tasks. By using these features, you acknowledge and agree:

• Suggestions Only. All AI-Generated Content is provided as drafts and suggestions only, and is not a substitute for professional judgment. You are solely responsible for reviewing, editing, approving, and publishing any AI-Generated Content before it is made public or sent to third parties.
• No Guarantee of Accuracy. AI models may produce content that is inaccurate, incomplete, biased, or outdated. We do not warrant the accuracy, reliability, or fitness for any purpose of any AI-Generated Content.
• Approval Workflow. Our platform includes approval workflows that require human review before AI-Generated Content is published. You are responsible for using these workflows and ensuring all published Content meets your standards and complies with applicable laws.
• Ownership of Approved Content. Once you review, approve, and publish AI-Generated Content, you retain ownership of it, subject to the license grant in Section 8, and are solely responsible for it.
• No Liability for AI Output. Atominic shall not be liable for any claims, damages, or losses arising from AI-Generated Content, including claims of defamation, infringement, or inaccuracy.
• Third-Party AI Models. Our Services may use third-party AI models and APIs. Your use is also subject to the terms of those providers, and we are not responsible for changes in their availability, quality, or terms.

8. Intellectual Property

Atominic's Intellectual Property. The Services, including all software, code, designs, interfaces, text, graphics, logos, trademarks, and other intellectual property, are owned by or licensed to Atominic Technologies and protected by applicable laws. Nothing in these Terms grants you any right in Atominic's intellectual property, except the limited right to use the Services as expressly permitted.

Your Intellectual Property. You retain all ownership rights in the Content you create, upload, or transmit through the Services (excluding unapproved AI-Generated Content). Atominic does not claim ownership of your Content.

License Grant to Atominic. By submitting Content through the Services, you grant Atominic a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, reproduce, modify, and process your Content solely to provide, maintain, and improve the Services, and as described in our Privacy Policy. This license terminates when you delete your Content or close your Account, except where shared with others or where retention is required by law.

Feedback. If you provide feedback or suggestions regarding the Services, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use and incorporate such Feedback without obligation or compensation.

9. User Content & Data

You are solely responsible for all Content you make available through the Services. You represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to use and authorize Atominic to use your Content as described in these Terms.
• Your Content does not infringe any third party's intellectual property, privacy, or publicity rights.
• Your Content does not contain material that is unlawful, harmful, threatening, abusive, defamatory, or obscene.
• Your Content complies with all applicable laws, including data protection and privacy laws.

We reserve the right, but have no obligation, to monitor, review, or remove any Content that we determine violates these Terms or is otherwise objectionable, without prior notice.

Data Storage. All data submitted to and processed by our Services is stored on servers located in India. By using our Services, you consent to the storage and processing of your data in India in accordance with our Privacy Policy.

10. Third-Party Integrations

Our Services allow you to connect with and publish content to third-party platforms, including Facebook, Instagram, LinkedIn, and Twitter/X, through OAuth and API integrations. By connecting your third-party accounts, you acknowledge and agree:

• You are solely responsible for ensuring your use complies with the terms and policies of those platforms.
• You authorize Atominic to access your third-party accounts as necessary to provide the requested Services, including reading account information and posting content on your behalf as directed by you.
• Atominic is not responsible for changes, disruptions, or restrictions imposed by third-party platforms, including changes to APIs, terms, or content policies.
• You are responsible for maintaining valid authentication tokens and re-authorizing connections as required.
• Atominic does not store your third-party passwords; authentication is handled through secure OAuth, and only access tokens are stored as necessary.
• Content published to third-party platforms becomes subject to their terms; Atominic is not liable for actions taken by those platforms with respect to your content.

11. Privacy

Your privacy is important to us. Our collection, use, storage, and disclosure of your personal information is governed by our Privacy Policy. By using our Services, you consent to the collection and use of your information as described there.

We are committed to protecting your personal data in accordance with applicable Indian data protection laws, and implement reasonable technical and organizational measures to safeguard your data.

12. Service Availability & Modifications

We strive to maintain reliable access to our Services. However, you acknowledge and agree that:

• No Uptime Guarantee. We do not guarantee uninterrupted, error-free, or secure access. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
• Modifications. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, including adding, changing, or removing features or Plan offerings.
• Material Changes. For material changes, we will make reasonable efforts to provide advance notice via email, in-platform notification, or a website notice. We are not obligated to maintain any particular feature.
• Third-Party Dependencies. Certain features depend on third-party services. We are not responsible for outages or changes in third-party services that affect our Services.

13. Termination

Termination by You. You may terminate your Account at any time by contacting us at contact@atominic.com or through account settings. Upon termination, your right to use the Services will immediately cease.

Termination by Atominic. We may suspend or terminate your Account at any time, with or without cause or notice. Grounds for immediate termination include: violation of these Terms or any law; conduct harmful to other Users or the Services; failure to pay applicable fees; extended inactivity; or request by law enforcement.

Effect of Termination. Upon termination: all licenses and rights granted to you immediately terminate; you will have thirty (30) days to export your data, after which we may permanently delete all data associated with your Account; any outstanding fees remain payable; and provisions that by their nature should survive termination shall remain in effect.

14. Limitation of Liability

Disclaimer of Warranties. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ATOMINIC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT, INCLUDING AI-GENERATED CONTENT, IS ACCURATE OR RELIABLE.

Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATOMINIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

Liability Cap. ATOMINIC'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO ATOMINIC DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE THOUSAND INDIAN RUPEES (INR 1,000), WHICHEVER IS GREATER.

These limitations apply regardless of the form of action and even if a limited remedy is found to have failed of its essential purpose.

15. Indemnification

You agree to defend, indemnify, and hold harmless Atominic Technologies, its owner, affiliates, officers, agents, contractors, and licensors from any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: your use of the Services or any activity under your Account; your Content or content published on your behalf; your violation of these Terms, any law, or the rights of any third party; your use of third-party integrations; or any misrepresentation made by you.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully. You shall not settle any claim without our prior written consent.

16. Governing Law & Dispute Resolution

Governing Law. These Terms and any disputes shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Jurisdiction. Any legal action arising out of these Terms shall be brought exclusively in the courts located in Gurgaon, Haryana, India. You irrevocably consent to the personal jurisdiction and venue of such courts.

Informal Resolution. Before filing any formal legal claim, you agree to first attempt to resolve any dispute informally by contacting us at contact@atominic.com. We will make good-faith efforts to resolve the dispute within thirty (30) days of receiving your written notice.

17. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" above and make reasonable efforts to notify you via email, in-platform notification, or a prominent website notice.

Your continued use of the Services after the effective date of any revised Terms constitutes acceptance. If you do not agree, you must stop using the Services and terminate your Account. It is your responsibility to review these Terms periodically.

18. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable while preserving its intent, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Atominic Technologies with respect to your use of the Services, and supersede all prior agreements relating to the subject matter. No waiver of any provision shall be deemed a further or continuing waiver, and our failure to assert any right shall not constitute a waiver.
